Terms of Use

1. Acceptance of terms

By accessing or using Suba360 (the "Service"), including the website, web application, embeddable chat widget, WhatsApp integration, and related tools, you agree to these Terms of Use ("Terms") and our Privacy Policy. If you do not agree, do not use the Service. The Service is operated by Clever Tech Ltd, a company registered in Ghana.

2. Description of service

Suba360 provides AI-powered customer support tools, including a knowledge base (RAG), embeddable web chat widget, WhatsApp messaging, conversation management, customer profiles, and escalation to human agents. Available features depend on your plan. Some capabilities described on our website or roadmap may not yet be available.

3. Accounts and access

To use the Service you must: • Be at least 18 years old, or have consent from a parent or legal guardian. • Provide accurate registration and billing information. • Keep your credentials secure and notify us of unauthorised access. • Ensure team members you invite use the Service appropriately. You are responsible for activity under your account and for configuring team permissions.

4. Your content and customer data

You retain ownership of the knowledge base documents, conversation data, and customer information you submit to Suba360. You grant us a limited licence to host, process, transmit, and display that content solely to provide the Service, including AI response generation and WhatsApp message delivery. You are responsible for having appropriate rights to upload content and for complying with applicable data-protection and consumer laws when communicating with your customers.

5. Acceptable use

You agree not to: • Use the Service for unlawful purposes or to send spam, harassment, or misleading content. • Upload content you do not have the right to use or that infringes others' rights. • Attempt to reverse engineer, copy, resell, or redistribute the Service except as permitted in writing. • Interfere with the Service, other users, or our infrastructure. • Use the AI agent to provide regulated advice (legal, medical, financial) without appropriate human oversight where required. We may suspend or terminate access for violations of these Terms.

6. AI-generated responses

Suba360 generates responses from your knowledge base and conversation context using AI. AI outputs may be inaccurate or incomplete. You are responsible for reviewing escalations, monitoring agent behaviour, and ensuring your use of automated replies meets your business and legal obligations. The Service is not a substitute for professional advice.

7. WhatsApp and third-party channels

When you connect WhatsApp or other messaging channels, you must comply with the applicable platform terms (including Meta's WhatsApp Business policies). You are responsible for obtaining any consents required to message your customers and for the content sent through connected channels.

8. Subscriptions and billing

Paid plans are billed according to the pricing published on our website or agreed in writing. Monthly and annual billing options may be offered; annual plans may include promotional discounts as described at checkout. Subscriptions renew automatically unless cancelled before the renewal date where applicable. Fees are generally non-refundable except where required by law or explicitly stated otherwise.

9. Intellectual property

The Service, including software, branding, documentation, and website content, is owned by Clever Tech Ltd and protected by intellectual property laws. These Terms do not transfer ownership of our software or trademarks to you. You receive a limited, non-exclusive licence to use the Service according to your plan.

10. Disclaimer and limitation of liability

The Service is provided on an "as is" and "as available" basis to the extent permitted by law. We do not warrant that the Service will be error-free, uninterrupted, or meet every business requirement. To the maximum extent permitted by law, Clever Tech Ltd is not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for claims relating to the Service shall not exceed the fees you paid us in the twelve months before the claim arose.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay applicable fees, or use the Service in a way that creates risk for us or other users. Provisions that by nature should survive termination, including ownership, disclaimers, and limitations of liability, will continue to apply.

12. Changes to these terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of Ghana. Disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Ghana, unless mandatory local consumer protection laws require otherwise.
